About St. Lucia's IBC Registry

PINNACLE ST. LUCIA is the world’s first public online registry. The system is public and used by clients, Overseas Agents (OA), Local Registered Agents (LRA), the Registrar of IBC’s and the Director of Financial Services. Each user has the ability to carry out various functions based on their respective needs and the controls that a registry system requires. These functions in the past could only be completed by physically visiting a companies registry, or or by using traditional communication and research methods.

Through our unique system any individual is able to access the registry through the internet via our website.

Clients

• Name search:
  this function allows the client to determine at no cost whether a name is available for reservation or incorporation, by giving the list of matches corresponding to the name searched on
• Name reservation:
  a client may wish to reserve the name to be used for a future IBC incorporation. The name reservation is valid for 30 days. A fee of US$ 50 is charged which can be paid very securely by credit card. A name reservation can be done with or without conducting a name search.
• Choice of OA/LRA:
  before the incorporation questionnaire can be completed, the client must choose an overseas agent (OA) or a Local Registered Agent (LRA) who will be in contact with him/her directly. A list of these agents can be found in our Professional Directory or in the online registry section. They are all professionals approved by the Minister for Financial Services and are based on predetermined standards of competence.
• Incorporation of IBC:
  PINNACLE ST. LUCIA allows the client to complete and review the incorporation questionnaire online. This can be done either after searching and or reserving or directly without searching or reserving the name. The client is able to select a OA/LRA, amend the standard memorandum and articles to suit his particular company, select the tax status of the company, and submit information on the directors and shareholders to the OA/LRA. Confidentiality of this information is preserved as it is not required to be filled with the Registrar. When the IBC has been registered the client receives instant notification of the incorporation, and has immediate access to the IBC register (name of IBC, incorporation date, registered agent, memorandum and articles of association and all transactions effected by the Registry) for that IBC.
• Certificates:
  all certificates and certified copies of an IBC incorporated in St. Lucia can be requested online from the IBC registry. These will be sent by courier.
• IBC search:
  request and view online the register of any IBC incorporated in St.Luca.
• Message box:
  the client can communicate with his/her OA/LRA over our secure system and private message box system.

OA’s

The OA, as an agent for the LRA has the ability to assist in the due diligence procedure and a duty to review the applications submitted by the client. The OA is able to conduct the following:

• Name searches
• Accept, review and submit applications to the LRA
• Complete the due diligence questionnaire
• Perform IBC searches
• Access to the register of all companies he/she represents at no cost
• Request certificates and certified copies
• Request to be an online OA
• Message box: communicate with any user (LRA, Registrar, and clients) in relation to any company or request

LRA’s

The LRA has the most important role as no information can reach the Registrar of International Business Companies (IBCR) unless submitted by the LRA. Also, all incorporation fees must be paid to the IBCR by the LRA and no other user. The LRA is able to conduct the following:

• All OA’s functions
• Submit applications to the IBC Registry
• Complete the due diligence checklist
• Pay for incorporation
• Request approval of and make amendments to the memorandum and articles of association with respect to any IBC he/she represents

IBC Registrar

The Registrar ultimately controls those functions. He performs the typical Registrar functions e.g. approving applications for companies to be incorporated, granting approval for certified copies of documents, ensuring that payment is made for the services requested.

Director

The Director has full online access to all information submitted to the registry on an online real time basis.
